These Standard License Terms apply to every license of still images, video, and related media ("Content") from Nexpher Images Limited ("Nexpher Images", "we", "our", or "us"), a wholly owned subsidiary of Nexpher Limited. They are supplemented by the applicable type document:
Together with our Terms and Conditions, these documents form your license. Asset-specific notices and written custom agreements also bind you and control where they are stricter or more specific.
2. Definitions
Editorial Content — Content marked or sold for editorial use (news, commentary, education, documentary, and similar non-advertising contexts).
Commercial Content — Content marked or sold for commercial, promotional, advertising, or branded use, typically under a custom agreement.
License Tier — The product level selected at purchase (Social Basic, Social Media Editorial, Standard Editorial, Extended Editorial, or Custom / Tailored).
You / Licensee — The account holder or entity that purchases or is granted a license.
End Use — The specific publication, broadcast, digital placement, or other use for which the Content is licensed.
3. License grant
Subject to payment of applicable fees and compliance with these terms, Nexpher Images grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the licensed Content solely for the End Use(s) permitted by your License Tier and the applicable type document.
3.1 What you may do
Reproduce and display the Content in the formats and media allowed by your license.
Crop, resize, colour-correct, or make technical edits required for publication, provided the editorial meaning is not distorted.
Store the Content in your internal systems for the duration of the license solely to facilitate the licensed End Use.
3.2 What you may not do (unless expressly licensed)
Use Content for advertising, promotion, endorsement, product packaging, or branding.
Sell, rent, sublicense, redistribute, or make Content available as a standalone file or stock asset.
Use Content in a defamatory, pornographic, unlawful, or misleading context, or in a way that implies endorsement by depicted persons or organisations.
Remove, alter, or obscure copyright notices, watermarks, metadata, or credit lines required by us or by law.
Use Content to train, fine-tune, or evaluate machine-learning or generative AI systems, or to create synthetic datasets, without a separate written licence.
Claim authorship of the Content or register it as your own intellectual property.
Share login credentials or allow third parties to download Content under your account outside your licensed organisation.
4. Ownership
All right, title, and interest in the Content remain with Nexpher Images, Nexpher Limited, or our licensors. You receive a licence only — not ownership of the Content or underlying copyrights.
5. Duration
Unless a custom agreement states otherwise, each download or purchase grants rights for the usage period shown at checkout or on your license record. When the period ends, you must stop new uses; previously published archival copies that remain online solely as historical record may continue if they were lawfully published during the license term and are not republished or redistributed.
6. Royalty-Free and Rights-Managed
Royalty-Free (RF) — After purchase of the applicable license, you may use the Content within the scope of that license without paying per-reuse royalties. RF does not mean unrestricted or free of charge, and does not remove editorial / commercial / tier limits.
Rights-Managed (RM) — Use is limited to the specific parameters licensed (media, territory, duration, exclusivity, industry, etc.). Further uses require an additional or renewed license.
7. Asset-specific restrictions
Individual assets may carry extra restrictions on the Content page, in captions or metadata, at download, or on your invoice. Those notices are binding additional terms for that asset.
8. Credit and attribution
Unless a custom agreement states otherwise, credit the Content substantially in the form: Photographer / Creator Name / Nexpher Images (or the credit line supplied with the asset). For video, include an equivalent on-screen or end-credit where customary.
9. Breach and termination
Unlicensed use, use beyond the licensed scope, or other breach may result in suspension of download rights, termination of licenses, account action under our Terms and Conditions, and claims for damages or statutory remedies. We may also require you to remove Content from further distribution.
10. Updates
We may update these terms from time to time. The version in effect at the time of your purchase or download applies to that license, unless a later version is expressly accepted for renewals or new downloads.
